This website, neuro-reliability.com (hereafter referred to as the "Site"), and the NeuroReliability™ training platform (hereafter referred to as the "Platform") are owned and operated by Neuro (hereafter referred to as "Neuro," "we," "us," or "our").

Please read these Terms and Conditions carefully before accessing or using the Site or Platform. By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree with these Terms, you must immediately discontinue use of the Site and Platform.

1. Agreement to Our Legal Terms

These Terms and Conditions constitute a legally binding agreement between you (individually or on behalf of your organization, "Client" or "User") and Neuro concerning your access to and use of the Site and Platform. Supplemental terms and conditions or documents that may be posted on the Site from time to time are expressly incorporated herein by reference.

We reserve the right to make changes to these Terms at any time and for any reason. We will notify you of any changes by updating the "Last updated" date. Your continued use of the Site or Platform following any such update constitutes your acceptance of the revised Terms.

2. Our Services

Neuro provides a science-backed operational training platform — NeuroReliability™ — designed to build detection capability in frontline workers across manufacturing, food & beverage, retail distribution, energy, and other industries. Our services include access to training content, methodology frameworks, deployment tooling, and associated support.

The information provided through the Platform is intended for general operational training and educational purposes. Neuro reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice.

3. Training Content — Educational Purpose Only

Neuro's training content, methodologies, and programs are educational in nature. They are designed to improve operator awareness, detection capability, and operational performance and are intended to supplement — not replace — your organization's existing safety programs, standard operating procedures, regulatory obligations, or the exercise of professional judgment by qualified personnel.

Nothing in Neuro's training content should be construed as legal advice, safety engineering guidance, process hazard analysis, regulatory compliance verification, or a guarantee of any specific operational outcome. Clients are solely responsible for determining how training content applies to their specific operational environment, equipment, and workforce.

Neuro does not conduct on-site safety inspections, perform equipment assessments, or evaluate individual worksites for hazards. Any decisions made by Client personnel based on training content are made at the sole discretion and risk of the Client organization.

4. No Certification or Regulatory Compliance Guarantee

Completion of Neuro training programs does not constitute regulatory certification, licensure, qualification, or compliance verification under any federal, state, local, or international law, regulation, or standard — including but not limited to standards promulgated by:

  • The Occupational Safety and Health Administration (OSHA)
  • The Environmental Protection Agency (EPA)
  • The Mine Safety and Health Administration (MSHA)
  • The Food and Drug Administration (FDA)
  • The Federal Motor Carrier Safety Administration (FMCSA)
  • Any state or local regulatory authority
  • Any industry standards body or accreditation organization

Neuro does not issue certificates of completion that satisfy mandatory regulatory training requirements unless expressly agreed in a separate written agreement. Client organizations are solely responsible for ensuring that their employees satisfy all applicable mandatory training, certification, and compliance requirements under applicable law.

5. Client and Employer Responsibilities

The Client organization assumes full responsibility for the following, independent of any use of the Neuro Platform:

  • Determining whether Neuro training programs are appropriate for its specific regulatory, safety, and operational requirements
  • Obtaining and maintaining all required regulatory certifications, permits, and approvals
  • Designing, implementing, and enforcing its own workplace safety and environmental compliance programs
  • Supervising trained personnel and ensuring that trained workers apply skills safely in actual operating conditions
  • Complying with all applicable laws and regulations governing its industry, facility, and workforce
  • Conducting any required site-specific hazard analysis, job safety analysis, or process safety management activities

Neuro's role is limited to providing training content and platform access. The Client remains the employer of record for all personnel using the Platform and retains all legal responsibilities associated with that status.

6. Intellectual Property Rights

All content on the Site and Platform — including but not limited to text, graphics, training modules, frameworks, methodologies, audio, video, software, and underlying technology — is owned by or licensed to Neuro and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Neuro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your organization's internal training purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Platform content without our prior written consent.

"NeuroReliability™" and related marks are trademarks of Neuro. Nothing in these Terms grants you any rights to use Neuro's trademarks, logos, or branding without prior written consent.

7. User Representations

By using the Site or Platform, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You will not access the Platform through automated or non-human means
  • You will not use the Platform for any unlawful or unauthorized purpose
  • Your use of the Platform will not violate any applicable law or regulation
  • All information you provide to Neuro is accurate, current, and complete

8. User Accounts

Access to the Platform requires the creation of an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Neuro immediately of any unauthorized use of your account.

User accounts are non-transferable and may not be shared. Each individual user must have their own account. Accounts created for one organization may not be used to provide access to a third party without Neuro's prior written consent.

9. Prohibited Activities

You may not use the Site or Platform for any purpose other than those expressly permitted by these Terms. Prohibited activities include but are not limited to:

  • Copying, reproducing, or distributing training content outside of your licensed use
  • Reverse engineering, decompiling, or attempting to extract the source code of the Platform
  • Using automated tools (bots, scrapers, crawlers) to access Platform content
  • Attempting to gain unauthorized access to any portion of the Platform or its systems
  • Uploading malicious code, viruses, or any software intended to damage or interfere with the Platform
  • Using the Platform in any way that could harm, disable, or impair the Platform or interfere with other users
  • Misrepresenting your identity or affiliation in connection with the Platform
  • Using Neuro's content to develop competing training products or services

10. Privacy and Data Use

Neuro collects and processes information in connection with your use of the Site and Platform. Our Privacy Policy, which is incorporated into these Terms by reference, describes how we collect, use, and share information, and your rights with respect to that information.

By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy. Client organizations that provide employee data to Neuro for the purpose of platform access represent that they have obtained all necessary consents and authorizations to do so.

11. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services, platforms, or tools. Neuro does not endorse, control, or assume responsibility for any third-party services, and your use of such services is governed by the applicable third-party terms and policies. Neuro is not liable for any harm or damage arising from your use of third-party services.

12. Service Management

Neuro reserves the right to: (a) monitor the Platform for violations of these Terms; (b) take appropriate legal action against users who violate these Terms; (c) refuse, restrict, or terminate access to the Platform at Neuro's sole discretion; and (d) manage the Platform in a manner designed to protect Neuro's rights and property and to facilitate proper functioning of the Platform.

13. Term and Termination

These Terms remain in effect for the duration of your use of the Site and Platform. Neuro may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination, your license to use the Platform ceases immediately.

Neuro may terminate or suspend your account for reasons including but not limited to: violation of these Terms, non-payment, fraudulent or abusive conduct, legal requirements, or cessation of Platform operations. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Disclaimer of Warranties

THE SITE AND PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEURO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEURO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NEURO DOES NOT WARRANT THAT THE TRAINING CONTENT WILL ACHIEVE ANY PARTICULAR OPERATIONAL, SAFETY, OR COMPLIANCE OUTCOME AT YOUR FACILITY.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM NEURO OR THROUGH THE PLATFORM WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEURO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

  • Workplace accidents, injuries, illnesses, or fatalities occurring at Client facilities, regardless of whether personnel involved completed Neuro training
  • Equipment failures, unplanned downtime, or production losses at Client facilities
  • Regulatory violations, fines, citations, or enforcement actions arising from Client's operations
  • Failure of personnel to apply training content appropriately in actual operating conditions
  • Indirect, incidental, special, exemplary, punitive, or consequential damages of any kind
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Damages arising from unauthorized access to or alteration of your account or data

IN NO EVENT WILL NEURO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NEURO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, NEURO'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Neuro and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Platform; (b) your violation of these Terms; (c) any workplace incident, injury, equipment failure, or regulatory violation at your facility; (d) your violation of any applicable law or the rights of a third party; or (e) any content you submit to or through the Platform.

17. Modifications and Interruptions

Neuro reserves the right to change, modify, or remove content from the Platform at any time without notice. Neuro also reserves the right to modify or discontinue the Platform, in whole or in part, with or without notice. Neuro will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

We do not guarantee that the Platform will be available at all times. We may experience hardware, software, or other problems that require maintenance, resulting in interruptions, delays, or errors. Neuro is not liable for any inconvenience, loss, or damage caused by your inability to access the Platform.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Colorado.

19. Dispute Resolution

To expedite resolution and reduce the cost of any dispute, you and Neuro agree to first attempt to resolve any dispute informally by contacting Neuro at least thirty (30) days before initiating formal proceedings. If informal resolution fails, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for actual or threatened infringement of intellectual property rights.

You and Neuro agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

20. Corrections

There may be information on the Site or Platform that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time without prior notice.

21. Electronic Communications

By using the Site or Platform, you consent to receive electronic communications from Neuro. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

22. Miscellaneous

These Terms constitute the entire agreement between you and Neuro regarding your use of the Platform and supersede all prior and contemporaneous written or oral agreements. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Neuro's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. These Terms may not be assigned by you without Neuro's prior written consent, but may be assigned by Neuro without restriction.
